Welcome to The Media Corp’s website (“Website”). The Media Corp (“us,” “we,” or “our”) provides marketing and advertising management services. By accessing or using our Website or services, you agree to be bound by these Terms and Conditions (“Terms”).

Account Registration

To access our services, you must create an account with The Media Corp. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

Services & Fees

The Media Corp agrees to provide marketing and advertising management services to the Client under the following agreed-upon terms:

• Monthly Fee: $2,000 per month

• Billing Frequency: Monthly

• Service Term: Three (3) consecutive months from the service start date

Fees are billed monthly and are due upon invoicing unless otherwise agreed in writing.

Service Term

This agreement shall remain in effect for a three (3) month service term beginning on the agreed service start date. There is no obligation to renew beyond the initial term unless mutually agreed upon in writing.

Cancellation Policy

• No advance cancellation notice is required by the Client

• No cancellation fees apply

• The Client may cancel services at any time during the service term

• Upon cancellation, services will conclude at the end of the then-current paid billing period

No refunds will be issued for services already rendered or billing periods already paid.

Intellectual Property Rights

All content, materials, strategies, creative assets, copy, and intellectual property developed or displayed on the Website or during service delivery remain the property of The Media Corp unless otherwise agreed in writing. You may not reproduce, distribute, or exploit any content without express written permission.

Third-Party Platforms – Limitation of Liability

Definitions

• “Third-Party Platforms” include, but are not limited to Google, Facebook, Instagram, TikTok, YouTube, or any advertising or social media platform not owned by The Media Corp.

• “Ad Accounts” refer to accounts owned and controlled by the Client on Third-Party Platforms.

Client Responsibilities

• The Client retains sole ownership and control of all Ad Accounts

• The Media Corp does not host, store, or control Ad Accounts

• The Client is responsible for security, access permissions, passwords, and compliance with platform policies

Limitation of Liability

The Media Corp shall not be held liable for:

• Account suspensions, bans, restrictions, or terminations

• Unauthorized access, hacking, or security breaches

• Platform algorithm changes or policy enforcement

The Client agrees to indemnify and hold harmless The Media Corp from any claims arising from Third-Party Platform actions or access issues.

General Limitation of Liability

In no event shall The Media Corp, its owners, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from the use or inability to use our services.

Indemnification

You agree to indemnify, defend, and hold harmless The Media Corp from any claims, damages, liabilities, or expenses (including reasonable attorney fees) arising out of your use of the services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which The Media Corp is headquartered, without regard to conflict-of-law principles. Any disputes shall be resolved in courts located within that jurisdiction.

Changes to Terms

These Terms may be updated from time to time. Any changes will not retroactively alter executed agreements unless mutually agreed upon in writing.
